The University of Virginia Investment Management Company (UVIMCO) manages approximately $5 billion of endowment and other long term assets for the University of Virginia and affiliated entities. Position Overview:

The General Counsel will be involved in all legal aspects of UVIMCO’s investment process. Specific responsibilities will include:

• Review and facilitate execution of all legal documents including fund subscription agreements and counterparty agreements, amendments and related documentation.
• Review and analyze draft ISDA, credit and related agreements, and lead negotiations with counterparties.
• Collaborate with investments staff to structure investments.
• Collaborate with UVIMCO’s external legal counsel to manage overflow, litigation or obtain specific technical assistance. Conduct research into legal issues as needed.
• Design and administer a comprehensive compliance program to ensure UVIMCO operates within legal, regulatory and operational constraints. Maintain a system of management reporting that provides timely and relevant information on all compliance issues.
• Assist with policy development for all organizational policies. Serve as liaison to University of Virginia counsel as needed.
• Keep management fully informed of all new developments in corporate, financial, employment and industry related legal matters. Monitor and communicate regulatory amendments and the associated impact to the organization.

Qualified candidates will possess stellar academic credentials, a JD or JD/MBA from a top tier law school and 3-10 years experience with either a top tier law firm or leading financial services firm/money manager/investment advisor. Strong working knowledge of investment concepts and the investment management process is required. Knowledge of tax considerations for non-profit organizations highly desired. Candidates must exhibit initiative and the capacity to work independently, as well as the ability to perform well in a team environment. Candidates should possess superior interpersonal and communication skills, leadership aptitude, negotiating expertise, and problem solving abilities. High integrity and a strong attention to detail are required. This position reports to the Chief Operating Officer.
